Terms of Service

These Terms of Service ("Terms") govern your use of the CleanabilityIQ platform ("the Service"), operated by Proxy Scholar Ltd (trading as "CleanabilityIQ"), a company registered in England and Wales ("we", "us", "our"). By creating an account or otherwise using the Service, you agree to be bound by these Terms.
1. The Service
CleanabilityIQ provides a SaaS platform for measuring cleanability, productivity, and outcome indices for built environments. The features available to you depend on the plan you have selected.
2. Acceptance & authority
By using the Service you confirm that you are at least 18 years old and, where you act on behalf of an organisation, that you have authority to bind that organisation to these Terms.
3. Accounts & credentials
You must provide accurate information at signup and keep it current. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
4. Acceptable use
You must not misuse the Service. In particular you must not: (a) use the Service unlawfully or fraudulently; (b) infringe any intellectual property or other rights; (c) introduce malware, attempt to probe, scan, or test the vulnerability of the Service; (d) scrape, copy, or resell the Service; or (e) circumvent any technical limits.
5. Intellectual property
We retain all right, title, and interest in and to the Service, including all software, documentation, branding, and the Cleanability Index methodology. You receive only the limited, non-exclusive, non-transferable right to use the Service in accordance with your plan. Content you upload remains yours; you grant us a limited licence to host and process it solely to provide the Service.
6. Payment, subscriptions, and taxes
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. For all payment, billing, tax, cancellation, and refund mechanics, please refer to the Paddle Buyer Terms.
Subscriptions renew automatically at the end of each billing period unless cancelled. All paid plans are sold as a single seat per purchase and are billed monthly or yearly according to the plan selected at checkout.
7. Service level
We work to keep the Service available, but we do not guarantee uninterrupted or error-free performance. Scheduled maintenance, third-party outages, and force majeure events may affect availability.
8. Warranties & disclaimers
To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Cleanability Index outputs are decision-support information; they are not a substitute for professional judgement.
9. Limitation of liability
To the fullest extent permitted by law, our aggregate liability arising out of or related to the Service shall not exceed the fees paid by you to us (via Paddle) in the twelve (12) months preceding the event giving rise to the claim. We shall not be liable for any indirect, consequential, or special damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded by law.
10. Indemnity
You agree to indemnify us against any claims arising from your content, your unlawful use of the Service, or your breach of these Terms.
11. Suspension & termination
We may suspend or terminate your access for: (a) material breach of these Terms; (b) non-payment; (c) security or fraud risk; or (d) repeated or serious policy violations. On termination, you may export your data for 30 days, after which it will be deleted.
12. Changes
We may update these Terms from time to time. Material changes will be notified by email or in-app at least 14 days before they take effect.
13. Governing law & disputes
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute, subject to any mandatory consumer protection rights in your country of residence.
14. Assignment & force majeure
You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond reasonable control.
